equipment. In line with the prevailing technology trend ITI has  made strides in the CDMA and GSM
Technology, manufacture of GSM-BTS and Infrastructure equipment. Besides offering the latest telecom
solutions and customized support to a variety of businesses, ITI has a dedicated Network Systems Unit for
carrying out installation and commissioning of equipment and undertaking turnkey jobs. The company has
set up state of the art data centre at Bangalore. The Company is looking for  a Company Secretary and
DGM (Public Relations) to be positioned at its Corporate Office, Bangalore

1) COMPANY SECRETARY  ON CONTRACT  

QUALIFICATION:  Pass in Company Secretary (final). Should be member of The Institute of
Company Secretaries of India. Degree in Law is preferred.

AGE: Should not be more than 57 years.  

EXPERIENCE: Should have relevant experience as Company Secretary in a reputed organization
for minimum of 9 years

DESIRED CANDIDATE PROFILE:  The candidate should have strong grounding in Company
Secretarial functions with emphasis in legal matters also including vetting of all agreements,
statutory compliances of submitting returns/reports to various agencies.

JOB DESCRIPTION:
  Responsible for organizing Management Committee Meetings, Board meetings, Annual
General Body Meeting (AGM) as per the Companies Act.
  To maintain relations with Stock Exchange through company’s brokers and responsible for
relaying information regarding the company to the market. To ensure compliance with every
aspect of listing agreement
  Responsible for maintaining the statutory registers regarding the members, company, directors
and secretary, directors’ interests in shares and debentures, interests in voting shares and
debenture holders.
  Responsible for filing annual reports, amendment to Memorandum and Articles of Association,
return of allotments, notices of appointments, removal and resignation of directors and the
secretary, notices of removal or resignation of the auditors, change of registered office and
resolutions in accordance with the Companies Act with the Registrar of Companies.
  Responsible for the publication of the company’s annual report and accounts.
  Responsible for Legal Matters of the company also including vetting of all agreements. Liaison
with Ministry, BIFR and other Government Bodies. Also any other allied activities of Secretarial
/ Legal functions of the Company, as and when required.
 
REMUNERATION: Consolidated remuneration of Rs.45,000/- per month plus other benefits 
and perks applicable. 


2). DEPUTY GENERAL MANAGER (PUBLIC RELATIONS) ON TENURE OF 5 YEARS 

POSITION & PAY SCALE:
Deputy General Manager – Public Relations (Grade.7)
Total emoluments Rs.46.340/-  (Basic + DA) at the minimum of the Pay Scale of Rs.17500-400-
22300, plus allowances and perks as per Company’s prevailing rules.

QUALIFICATION & EXPERIENCE:

Must have a Degree in any discipline preferably with Diploma in Public Relations / Journalism /
Mass Communication / Advertising from a recognized Institution / University.   Should have post
qualification experience of at least 15 years in the relevant area in a large Private / Government
organization.   Knowledge in relevant Computer field is desirable.

JOB PROFILE:

Involves responsibility for Corporate communications – both internal and external &  calls for ability
to interact at all levels and inclination towards visualizing, creative communication / conceptual
skills with a flair for writing, designing etc, for various media-print, electronic & digital , journals /
publications ; advertising/ promotions ; exhibitions / trade fairs ; films / audio-visuals / multi media
and other related areas of Public Relations.

PREFERRED AGE:  

Below 50 years (Relaxable by 5 years for SC / ST / Persons with Disabilities, 3 years for OBCs
[Non-Creamy layer] and Ex-service personnel in accordance with the instructions of Central Govt.
 
GENERAL CONDITIONS:

1. Only Indian Nationals need apply. Mere submission of application will not entail right for claiming  
     appointment.
2. Reservations for SC/ST/OBC (Non creamy layer) and Persons with disabilities (PWD) / Ex-Servicemen
     category exists as per Govt of India Guidelines. Candidates belonging to OBC Category are required to  
     submit recent certificate stating that they do not come under the purview of “Creamy layer” from a
     competent authority in the prescribed format issued by the Govt of India.
3.  Educational Qualification, Age and Experience limit prescribed is as on the date of Advertisement.  
4.  Relaxation in Age, Experience and Qualification, may be considered at the sole discretion of the
     Management.
5  The company reserves the right to consider only those candidates for interview who according to its
    decision rank high in terms of eligibility criteria.
6. Decision of the Company with regard to eligibility of Candidates will be final. Mere eligibility will not entitle  
     any candidates for admission to interview or selection.
7. Company reserves the right to fill all or partially or not to fill any of the post/s. The No. of post/s to be filled
     may decrease or increase depending on the actual / future requirements of the company.
7. Canvassing in any form will disqualify the candidature.
8. Candidates will be considered for the interview in the appropriate /lower level of Grade/ Designation
     depending on the experience, salary drawn and position held by them.
9.  To & for III A/C train fare by the shortest route,  will be reimbursed to candidates from out stations.






MEDICAL STANDARD:

Applicants should be of sound health and should meet the medical standard prescribed by the Company.
Appointment of selected candidates will be subject to medical fitness duly certified by the Company’s
Medical Officers. No relaxation in health standard is allowed.

(ii) Applicant should bring with them:
  A non refundable account payee Demand Draft for Rs.300/- (Rupees Three hundred only) in favour of  
        ITI Limited, Bangalore drawn on any Nationalized Bank.  No other mode of payment is acceptable.
  Attested photocopies of certificate and Marks Sheet in proof of Educational Qualification (X standard /
SSLC and onwards) and Attested photocopies of Experience Certificate/s with a latest salary certificate
containing detailed particulars of Basic Pay, Scale of Pay, Perks etc.
  SC/ST category candidates should attach attested photocopy of Caste Certificate issued by the
Competent Authority.
  OBC (Non-creamy layer) category candidates should attach attested photocopy of recently obtained
community certificate issued by the Competent Authority in the prescribed format (not older than 6
months as on the date of advertisement).
  In case of candidates from Govt / Quasi Govt / PSU, No Objection Letter from the present Employer
has to be produced at the time of Interview.
  Candidates are requested to check their eligibility criteria with regard to age, Qualification and
experience against the advertisement.
  The candidates are requested to  bring duly filled in  application, along with copies of testimonials  /
documents in respect of educational qualification, experience and caste / disability certificate in case of
